  1. Latar Belakang

PT BRI (Persero), Tbk. sebagai Badan Usaha Milik Negara (BUMN) yang bergerak disektor perbankan dan telah go public, dengan berpedoman pada ketentuan yang berlaku, telah mengimplementasikan prinsip-prinsip Good Corporate Governance (GCG) dalam setiap aspek pengelolaan perusahaan. BRI menyadari bahwa keberlangsungan eksistensi perusahaan tidak hanya diukur dari performa keuangan, dan peningkatan keuntungan, melainkan juga melalui performa internal perusahaan yaitu etika dan Good Corporate Governance.

Guna mendukung tercapainya tujuan perusahaan, BRI menetapkan komitmen untuk menjalankan sistem perbankan yang sehat di Indonesia dengan berlandaskan pada pengimplementasian prinsip-prinsip Good Corporate Governance (GCG).

Melalui implementasi prinsip-prinsip GCG secara konsisten dan berkesinambungan diharapkan dapat memaksimalkan corporate value dan kepercayaan pasar. Hal ini dilakukan agar Bank memiliki daya saing yang kuat, baik secara nasional maupun internasional serta mampu menjaga kelangsungan usaha dalam jangka panjang sehingga tujuan Perseroan dapat tercapai.

 

  1. Tujuan Pelaksanaan Good Corporate Governance

Pelaksanaan GCG bertujuan untuk :

  1. Mendukung pencapaian visi dan misi Bank
  2. Mendukung pencapaian tujuan Bank melalui peningkatan kinerja yang signifikan;
  3. Memaksimalkan nilai perusahaan
  4. Memberikan keyakinan kepada pemegang saham dan stakeholders lainnya bahwa pengurusan dan pengawasan Bank dijalankan secara profesional
  5. Menjamin kesehatan dan kemajuan Bank secara berkesinambungan
  6. Memberikan pedoman bagi Komisaris, Direksi dan Pekerja Bank dalam melaksanakan tugasnya
  7. Mendukung pengelolaan sumber daya Bank  secara lebih efisien dan efektif
  8. Mengoptimalkan hubungan risk – return yang konsisten dengan strategi bisnis
  9. Mendukung terciptanya pengambilan keputusan oleh seluruh insan Bank yang didasari pada prinsip-prinsip GCG
  10. Mendukung penetapan kebijakan Bank yang didasari oleh prinsip-prinsip GCG
  11. Membantu terwujudnya good corporate citizen.

 

 

  1. Prinsip-Prinsip Good Corporate Governance

Sebagai lembaga intermediasi dan lembaga kepercayaan, dalam melaksanakan kegiatan usahanya Bank wajib senantiasa menganut prinsip-prinsip GCG sebagai berikut:

  1. Transparansi (Transparency)

Merupakan keterbukaan dalam mengemukakan informasi yang material dan relevan serta keterbukaan dalam proses pengambilan keputusan.

Pedoman Pokok Pelaksanaan

  1. Mempunyai kebijakan untuk mengungkapkan berbagai informasi penting yang diperlukan oleh pemangku kepentingan.
  2. Mengungkapkan informasi sesuai dengan ketentuan perundang‐undangan yang berlaku, antara lain meliputi tetapi tidak terbatas pada hal‐hal yang bertalian dengan visi, misi, nilai‐nilai serta sasaran usaha dan strategi, kondisi keuangan, susunan dan remunerasi Komisaris dan Direksi, pemegang saham pengendali, struktur organisasi beserta pejabat eksekutif, manajemen risiko, sistem pengawasan dan pengendalian internal, sistem dan pelaksanaan GCG serta tingkat kepatuhannya dan kejadian penting yang dapat mempengaruhi kondisi Bank.
  3. Mengambil inisiatif untuk mengungkapkan hal-hal yang tidak hanya disyaratkan oleh peraturan perundang‐undangan, tetapi juga hal‐hal lain yang diperlukan untuk pengambilan keputusan oleh pemegang saham, nasabah serta pemangku kepentingan lainnya.
  4. Tidak mengurangi kewajiban melindungi informasi rahasia mengenai Bank dan nasabah sesuai dengan peraturan perundang‐undangan serta informasi yang dapat mempengaruhi daya saing Bank.
  5. Informasi tersebut secara tertulis dan dikomunikasikan kepada pemangku kepentingan.
  1. Akuntanbilitas (Accountability)

Merupakan kejelasan fungsi dan pelaksanaan pertanggungjawaban organ Bank sehingga pengelolaannya berjalan secara efektif.

Pedoman Pokok Pelaksanaan

  1. Menetapkan sasaran usaha jangka panjang dan target usaha jangka pendek untuk dapat dipertanggungjawabkan kepada pemegang saham dan pemangku kepentingan lainnya.
  2. Dewan Komisaris dan Direksi menyampaikan laporan tahunan dan pertanggungjawaban keuangan dalam Rapat Umum Pemegang Saham (RUPS) serta menjelaskan pokok‐pokok isinya kepada pemangku kepentingan dan masyarakat pada umumnya.
  3. Menyampaikan laporan sesuai dengan ketentuan yang berlaku kepada otoritas pengawas Bank dan kepada pemangku kepentingan lainnya sesuai ketentuan yang berlaku.
  4. Menetapkan tugas dan tanggung jawab yang jelas bagi masing‐masing organ, anggota Dewan Komisaris dan Direksi serta seluruh jajaran dibawahnya yang selaras dengan visi, misi, nilai‐nilai perusahaan, sasaran usaha dan strategi Bank.
  5. Memastikan bahwa masing‐masing anggota Dewan Komisaris dan Direksi serta seluruh jajaran pimpinan Bank harus membuat pertanggungjawaban atas pelaksanaan tugasnya, secara periodik sesuai dengan ketentuan internal Bank.
  6. Meyakini bahwa masing‐masing Dewan Komisaris dan Direksi maupun seluruh jajaran dibawahnya mempunyai kompetensi sesuai dengan tanggung jawabnya dan memahami perannya dalam pelaksanaan GCG.
  7. Memastikan adanya struktur, sistem dan standard operating procedure (SOP) yang dapat menjamin bekerjanya mekanisme check and balance dalam pencapaian visi, misi, dan tujuan Bank.
  8. Memiliki ukuran kinerja dan sistem remunerasi bagi masing‐masing anggota Dewan Komisaris dan Direksi maupun seluruh jajaran dibawahnya berdasarkan ukuran‐ukuran yang disepakati dan konsisten dengan visi, misi, nilai‐nilai perusahaan, sasaran usaha dan strategi Bank serta memiliki sistem penghargaan dan sanksi (reward and punishment system).
  9. Memiliki sistem pengendalian internal yang efektif dalam pengelolaan Bank.
  10. Dalam melaksanakan tugas dan tanggung jawabnya, masing‐masing insan Bank harus berpegang pada etika bisnis dan pedoman perilaku yang telah disepakati.
  1. Pertanggungjawaban (Responsibility)

Merupakan kesesuaian pengelolaan Bank dengan peraturan perundang-undangan yang berlaku dan prinsip-prinsip pengelolaan Bank yang sehat.

Pedoman Pokok Pelaksanaan

  1. Insan Bank berpegang pada prinsip kehati‐hatian dan menjamin dilaksanakannya peraturan perundang‐undangan, anggaran dasar serta peraturan internal Bank.
  2. Menafsirkan secara baik ketentuan perundang‐undangan, anggaran dasar dan peraturan internal Bank, tidak hanya dari perumusan kata‐kata yang tercantum didalamnya, tetapi juga dari latar belakang yang mendasari dikeluarkannya peraturan dan ketentuan tersebut.
  3. Menghindari segala biaya transaksi yang berpotensi merugikan pihak ketiga maupun pihak lain di luar ketentuan yang telah disepakati, seperti tersirat pada undang-undang, regulasi, kontrak maupun pedoman operasional bank.
  4. Memelihara kelestarian alam melalui kebijakan perkreditan dan kebijakan lain yang mendukung terpeliharanya sumber daya alam.
  5. Bertindak sebagai warga korporasi yang baik melalui tanggung jawab sosial dan lingkungan.
  1. Independensi (Independence)

Merupakan pengelolaan Bank secara profesional tanpa pengaruh/tekanan dari pihak manapun.

Pedoman Pokok Pelaksanaan

  1. Menghindari dominasi dari pihak manapun, tidak terpengaruh oleh kepentingan tertentu, bebas dari benturan kepentingan dan segala pengaruh atau tekanan sehingga pengambilan keputusan dapat dilakukan secara obyektif.
  2. Melaksanakan fungsi dan tugasnya sesuai dengan anggaran dasar, peraturan internal Bank dan peraturan perundang‐undangan, tidak saling mendominasi dan atau melempar tanggung jawab antara satu dengan yang lain.
  3. Melaksanakan fungsi dan tugasnya sesuai dengan uraian tugas serta standar operasi yang berlaku untuk jenis pekerjaan yang bersangkutan.
  1. Kewajaran dan Kesetaraan (Fairness)

Merupakan keadilan dan kesetaraan dalam memenuhi hak-hak stakeholders yang timbul berdasarkan perjanjian dan peraturan perundang-undangan yang berlaku.

Pedoman Pokok Pelaksanaan

  1. Memberikan perlakuan yang wajar dan setara kepada pemangku kepentingan sesuai dengan manfaat dan kontribusi yang diberikan kepada Bank.
  2. Memberikan kesempatan kepada seluruh pemangku kepentingan untuk memberikan masukan dan menyampaikan pendapat bagi kepentingan Bank serta membuka akses terhadap informasi sesuai prinsip keterbukaan.
  3. Dalam penerimaan pegawai dan pengembangan karir pekerja serta pelaksanaan tugas secara profesional, Bank tidak membedakan suku, agama, ras, golongan, jenis kelamin (gender) dan kondisi fisik.

 

  1. Pelaksanaan Prinsip-Prinsip Good Corporate Governance

Pelaksanaan prinsip-prinsip good corporate governance dikelola melalui penerapan :

  1. Visi dan Misi

Perusahaan mempunyai visi yang mencerminkan tujuan yang akan dicapai pada masa yang akan datang dan misi yang memuat cara untuk mencapai visi yang telah ditetapkan.

  1. Nilai-nilai Perusahaan (Core Value)

Nilai-nilai Perusahaan mencakup nilai Budaya Kerja yang diterjemahkan dalam  Tindakan Budaya Kerja yang menjadi landasan cara berpikir, berperilaku dan bertindak individu-individu dalam kelompok yang dipergunakan secara terus menerus. Semua insan Bank diharuskan bertindak sesuai nilai-nilai pokok tersebut dalam pelaksanaan tugas.   

  1. Pedoman Dewan Komisaris dan Direksi

Pedoman Dewan Komisaris dan Direksi Bank yang menjabarkan struktur, tugas dan tanggung jawab, pembagian tugas, etika kerja, rapat, organisasi, dan hubungan kerja dari Dewan Komisaris dan Direksi, sebagai acuan bagi Dewan Komisaris dan Direksi dalam melaksanakan tugas masing-masing untuk mencapai visi dan misi  Bank.

  1. Kode Etik (Code Of Conduct)

Kode Etik Bank merupakan pedoman yang menjelaskan etika usaha dan tata perilaku insan Bank untuk melaksanakan praktik-praktik pengelolaan perusahaan yang baik.

Kode Etik Bank menjadi standar perilaku yang wajar, patut dan dapat dipercaya untuk semua insan Bank dalam melaksanakan kegiatan usaha termasuk berinteraksi dengan pemangku kepentingan (stakeholder).

Kode Etik Bank berlaku bagi seluruh insan Bank diseluruh jenjang organisasi Bank. Penerapan Kode Etik Bank secara terus menerus dan berkesinambungan dalam bentuk sikap, perbuatan, komitmen dan ketentuan mendukung terciptanya budaya Perusahaan.

  1. Perjanjian Kerja Bersama (PKB)

Perjanjian kerja bersama (PKB) mengatur syarat-syarat kerja yang merupakan hasil perundingan dan kesepakatan antara Bank dengan serikat pekerja di Bank, yang akan digunakan sebagai pedoman oleh kedua belah pihak dalam melaksanakan hubungan kerja dan sebagai rujukan utama dalam hal terjadi perselisihan perjanjian kerja bersama.

Kesepakatan tersebut merupakan amanat dari Undang-undang Ketenagakerjaan yang pada prinsipnya merupakan acuan dalam membina hubungan industrial yang harmonis antara Bank dan seluruh pekerja.

  1. Pelestarian Sumber Daya Alam dan Lingkungan Hidup

Tanggung jawab terhadap kelestarian sumber daya alam dan lingkungan hidup merupakan komitmen BRI untuk berperan serta dalam pembangunan ekonomi berkelanjutan guna meningkatkan kualitas kehidupan dan lingkungan yang bermanfaat, baik bagi Bank sendiri, komunitas setempat, maupun masyarakat pada umumnya.

Dalam fungsinya melaksanakan tanggung jawab sosial dan lingkungan, BRI memiliki strategi dan program tanggung jawab sosial dan lingkungan yang terintegrasi dengan strategi bisnis BRI yang memperhatikan pelestarian sumber daya alam dan lingkungan hidup.

Pelaksanaan tanggung jawab sosial dan lingkungan BRI dipublikasikan kepada pemangku kepentingan dalam laporan secara berkala.

 

  1. Struktur Governance

Struktur tata kelola Bank meliputi struktur organ perusahaan utama dan pendukung serta kebijakan Bank dalam rangka pelaksanaan usaha, yaitu sbb :

  1. Organ Utama

Terdiri atas :

  1. Rapat Umum Pemegang Saham

Rapat Umum Pemegang Saham (RUPS) merupakan forum dari instansi tertinggi Organ Bank, yaitu pemegang saham. RUPS terdiri atas :

  1. RUPS Tahunan, untuk mengesahkan beberapa agenda yang wajib diselenggarakan dalam jangka waktu paling lambat 6 (enam) bulan setelah tahun buku berakhir.
  2. RUPS lainnya, dapat diselenggarakan setiap waktu berdasarkan kebutuhan untuk kepentingan Perusahaan.
  1. Dewan Komisaris

Dewan komisaris terdiri dari Komisaris dan Komisaris Independen. Komisaris independen ditetapkan paling kurang 50% (lima puluh persen) dari jumlah anggota Dewan Komisaris. Pelaksanaan tugas dan tanggung jawab Dewan Komisaris mengacu pada Anggaran dasar Bank, dan peraturan perundang-undangan yang berlaku.

  1. Direksi

Direksi bertugas dan bertanggung jawab secara kolegial. Masing‐masing anggota Direksi dapat melaksanakan tugas dan mengambil keputusan sesuai dengan pembagian tugas dan wewenangnya, tetapi pelaksanaan tugas dari masing‐masing anggota Direksi akhirnya tetap merupakan tanggung jawab bersama. Pelaksanaan tugas dan tanggung jawab Direksi mengacu pada Anggaran Dasar Bank, dan peraturan perundang-undangan yang berlaku.

Hubungan kerja Dewan Komisaris dan Direksi adalah hubungan check and balances dengan prinsip bahwa kedua organ tersebut mempunyai tugas untuk menjaga kelangsungan usaha Bank dalam jangka panjang dan mempunyai tujuan akhir untuk kemajuan dan kesehatan Bank.

Komite di bawah Dewan Komisaris, antara lain :

  2. Komite Nominasi dan Remunerasi
  3. Komite Pengawasan Manajemen Risiko.

Komite di bawah Direksi, antara lain :

  1. Komite Manajemen Risiko /Risk Management Committee (RMC);
  2. Komite Kebijakan Perkreditan (KKP);
  3. Komite Kredit (KK);
  4. Komite Aset dan Liabilitas / Asset-Liability Committee (ALCO);
  5. Komite Pengarah Teknologi dan Sistem Informasi / IT Steering Committee (ITSC);
  6. Komite Kebijakan Sumber Daya Manusia; dan
  7. Komite lainnya yang dapat ditetapkan kemudian
  1. Sekretaris Dewan Komisaris

Sekretaris Dewan Komisaris merupakan organ Dewan Komisaris yang diangkat oleh Dewan Komisaris yang bertugas membantu pelaksanaan tugas dan tanggung jawab Dewan Komisaris.

  1. Sekretaris Perusahaan

Bank menunjuk Sekretaris Perusahaan untuk membantu Dewan Komisaris dan Direksi dalam melaksanakan tugas dan tanggung jawab masing-masing terkait dengan pelaksanaan GCG serta untuk mengelola komunikasi kepada pihak yang berkepentingan (stakeholders) baik pihak intern maupun pihak ekstern.

  1. Satuan Kerja Manajemen Risiko

Penerapan Manajemen Risiko meliputi :

  1. Pengawasan aktif Dewan Komisaris dan Direksi
  2. Kecukupan kebijakan, prosedur dan penetapan limit
  3. Proses Manajemen Risiko dan sistem informasi Manajemen Risiko
  4. Sistem Pengendalian Internal 
  1. Satuan Kerja Kepatuhan

Satuan Kerja Kepatuhan merupakan Unit Kerja independen yang bertanggungjawab dalam melaksanakan Fungsi Kepatuhan di BRI.

  1. Satuan Kerja Audit Intern

Audit Intern merupakan unit kerja/satuan kerja yang secara struktural berada dibawah pengawasan langsung Direktur Utama, bertanggung jawab langsung kepada Direktur Utama dan memiliki garis komunikasi dengan Komite Audit. Audit Intern melakukan kegiatan pemberian keyakinan (assurance) dan konsultasi yang bersifat independen dan objektif dengan tujuan untuk meningkatkan nilai tambah dan memperbaiki operasional Bank melalui pendekatan yang sistematis dengan cara mengevaluasi dan meningkatkan kecukupan dan efektifitas manajemen risiko, pengendalian intern dan proses tata kelola perusahaan.

  1. Audit Ekstern

Pemeriksaan terhadap Bank dilakukan pula oleh eksternal Auditor yaitu Bank Indonesia, Badan Pemeriksa Keuangan, pemeriksa lain sesuai regulasi dan Kantor Akuntan Publik. Bank wajib menunjuk Akuntan Publik dan Kantor Akuntan Publik yang terdaftar di Bank Indonesia dalam pelaksanaan audit laporan keuangan Bank.

  1. Kebijakan

Terdiri dari :

  1. Kebijakan Penyusunan Rencana Bank

Rencana Bank terdiri dari :

  1. Rencana Jangka Panjang (RJP/corporate plan) untuk jangka waktu 5 (lima) tahun.
  2. Rencana Bisnis Bank (RBB) Bank untuk jangka waktu 3 (tiga) tahun.
  3. Rencana Kerja Anggaran Perusahaan (RKAP) Bank untuk 1 (satu) tahun.
  1. Kebijakan Usaha

Kebijakan dan peraturan internal BRI termasuk standard operating procedure (SE/SK/BPO/Juklak) harus sejalan dengan kebijakan GCG yang telah ditetapkan. Asas GCG harus tercermin dalam semua kebijakan dan peraturan internal Bank baik yang berkaitan dengan usaha Bank maupun berkaitan dengan manajemen intern Bank.

Setiap pengembangan produk dan/atau aktivitas baru harus dikaji dengan seksama kesesuaiannya dengan ketentuan yang berlaku. Ketentuan terkait produk dan/atau aktivitas baru Bank diatur dalam ketentuan tersendiri.

  1. Kebijakan Pengawasan
  1. Pengawasan Bank diimplementasikan dengan konsep 3 (tiga) garis pertahanan/three lines of defense yaitu:
  1. First Line of Defense
  2. Second Line of Defense
  3. Third Line of Defense
  1. Kebijakan Pengawasan BRI terdiri dari  :
  1. Kebijakan pengendalian internal

Kebijakan pengendalian internal disusun dengan memperhatikan ruang lingkup sebagai berikut :

  1. Lingkungan pengendalian, contoh penerapan konsep three line of defense;
  2. Pengkajian dan pengelolaan risiko usaha, contoh risk assessment terhadap produk dan/atau aktivitas bisnis bank;
  3. Aktivitas pengendalian yang dilaksanakan disetiap tingkatan struktur bank, contoh kebijakan pengawasan atasan langsung, dual control dsb;
  4. Sistem informasi dan komunikasi, contoh informasi yang tersedia di dalam Data Ware House (DWH);
  5. Pemantauan, Evaluasi dan tindak lanjut atas aktivitas pengendalian intern, contoh kebijakan penerapan perangkat manajemen risiko.
  1. Kebijakan pengawasan internal

Kebijakan pengawasan internal antara lain meliputi kebijakan Audit Intern, Strategi Anti Fraud, Hukum dan Kepatuhan.

  1. Kebijakan pengawasan eksternal

Pengawasan eksternal dilakukan oleh auditor eksternal dan lembaga pengawas perbankan sesuai dengan ketentuan yang berlaku.

  1. Kebijakan transparansi dan Pengungkapan

Kebijakan internal Bank  terkait transparansi dan pengungkapan tertuang dalam :

  1. Panduan transparansi dan pengungkapan (transparency and disclosure guidelines);
  2. Kebijakan Rahasia Bank; dan
  3. Kebijakan tentang pelaporan baik laporan internal maupun eksternal termasuk laporan kepada otoritas pengatur dan pengawas Bank, yang dituangkan dalam kebijakan tersendiri menurut jenis laporan.

Evaluasi dan penyempurnaan kebijakan internal Bank dilakukan secara berkala oleh unit kerja pembuat kebijakan (policy owner) sesuai dengan kebutuhan dan perkembangan Bank.

 

  1. Proses Governance

Proses governance merupakan cara atau mekanisme yang dilakukan oleh organ perusahaan dan jajaran dibawahnya dalam melakukan fungsi dan tugasnya untuk mewujudkan komitmen dan struktur governance sehingga dapat dicapai governance outcome yang sesuai dengan prinsip-prinsip GCG.

Proses governance terdiri dari :

  1. Rapat Umum Pemegang Saham
  2. Pelaksanaan Fungsi, Tugas dan Tanggung jawab Dewan Komisaris dan Direksi
  3. Pelaksanaan Kegiatan Usaha Bank
  4. Pengelolaan Sumber Daya Manusia (SDM)
  5. Tanggung jawab Sosial dan Lingkungan
  6. Tata kelola teknologi informasi (IT governance)
  7. Pengelolaan Anak Perusahaan
  8. Sosialisasi kebijakan Bank
  9. Dokumentasi Proses

 

  1. Governance Outcome

Governance Outcome merupakan manifestasi dari pelaksanaan governance Bank yang dimulai dari komitmen goaernance dan dilaksanakan melalui struktur governance dan Proses governance secara terintegrasi.

  1. Manifestasi pelaksanaan GCG di Bank dapat dilihat dari, antara lain :
  • Kesinambungan Usaha
  • Perlindungan Nasabah
  • Tanggung Jawab Sosial dan Lingkungan
  • Kemanfaatan Bank bagi masyarakat dan perekonomian nasional

 

  1. Transparansi Pelaksanaan Good Corporate Governance
  1. Pengukuran Efektivitas Pelaksanaan Good Corporate Governance

Pengukuran efektifitas pelaksanaan GCG di Bank dilakukan melalui metode assessment. Metode assessment pengakuran efektifitas pelaksanaan GCG di Bank, dapat dilakukan secara:

  1. Penilaian Sendiri (self assessment)
  2. Penilaian GCG dari Pihak Lain (third party assessment)
  1. Laporan Pelaksanaan Good Corporate Governance
    1. Penyusunan laporan pelaksanaan GCG Bank atau laporan tata kelola perusahaan berpedoman pada ketentuan Bank Indonesia, Bapepam-LK dan ketentuan eksternal lainnya yang mengatur penyusunan materi laporan.
    2. Laporan pelaksanaan GCG Bank dimuat dalam laporan tahunan Bank dalam bab tersendiri atau disajikan terpisah dari laporan tahunan Bank yang disampaikan bersama-sama dengan laporan Tahunan Bank paling lambat 5 (lima) bulan setelah tahun buku berakhir.
    3. Penyampaian laporan pelaksanaan GCG Bank kepada stakeholders, mengacu kepada ketentuan Bank Indonesia, Bapepam-LK, dan ketentuan eksternal lainnya.

 

 

 

KOMITMEN DIREKSI DAN DEWAN KOMISARIS

 

Kode Etik BRI berlaku bagi seluruh Insan Bank diseluruh jenjang organisasi BRI. Penerapan atas kode etik BRI secara terus menerus dan berkesinambungan dalam bentuk sikap, perbuatan, komitmen dan ketentuan mendukung terciptanya budaya Perusahaan. Sejalan dengan upaya untuk menerapkan menejemen yang profesional dan tata kelola perusahaan yang baik, serta membangun perilaku yang sesuai standar etika Bank BRI  dengan mengacu pada praktik terbaik (best practice) dan memenuhi peraturan perundangan yang berlaku, berkesinambungan dan konsisten melalui penerapan nilai-nilai Good Corporate Governance (GCG) yakni Transparency (Transparansi), Accountability (Akuntabilitas), Responsibility (Responsibilitas), Independence (Kemandirian), Fairness (Kewajaran) yang menjiwai isi Standar Etika Perusahaan (Code of Conduct) dan Kebijakan Tata Kelola Perusahaan (Corporate Governance Policy) BRI.

BRI menerapkan proses Manajemen Risiko secara konsisten pada setiap proses aktivitas bisnis maupun operasional perbankan sehari-hari, mengingat hal tersebut merupakan faktor penting untuk memastikan pencapaian target kinerja yang telah ditetapkan, yaitu menjadi bank yang sehat dan bertumbuh secara berkesinambungan.

Manajemen Risiko turut berperan meningkatkan kualitas pengelolaan bank melalui dua aspek, yaitu melindungi modal dan mengoptimalkan return terhadap risk. Skala operasi yang luas dan volume usaha yang terus meningkat dikelola melalui penerapan pola Manajemen Risiko secara terintegrasi untuk mengidentifikasi, mengukur, memantau dan mengendalikan eksposur risiko di seluruh lini organisasi.

Kebijakan Manajemen Risiko BRI mencakup kebijakan manajemen risiko secara individual serta terintegrasi dengan Perusahaan Anak BRI. Di dalam penerapan kerangka pengelolaan risiko secara terpadu (enterprise-wide risk management) yang meliputi empat pilar, yaitu:

  1. Pengawasan Aktif Dewan Komisaris dan Direksi

Dewan Komisaris dibantu oleh Komite Pengawasan Manajemen Risiko (KPMR) untuk melakukan evaluasi terhadap kebijakan dan implementasi manajemen risiko yang dilakukan Direksi.

Sementara itu, Direksi dibantu oleh Risk Management Committee (RMC) sebagai komite tertinggi dalam sistem manajemen risiko BRI, RMC bersifat non struktural dan independen terhadap unit kerja operasional. RMC bertugas untuk memberikan rekomendasi kepada Direktur Utama dalam merumuskan kebijakan, menyempurnakan pelaksanaan kebijakan, mengevaluasi perkembangan dan kondisi profil risiko, serta memberikan saran-saran dan langkah-langkah perbaikan RMC dilaksanakan secara berkala, sekurang-kurangnya satu kali dalam waktu tiga bulan.

Untuk membahas permasalahan yang spesifik pada jenis risiko tertentu dan membutuhkan putusan segera, dilakukan rapat RMC yang bersifat terbatas, atau yang disebut sub-RMC.  Terdapat 3 (tiga) Sub-RMC yaitu CRMC (Credit Risk Management Committee), MRMC (Market Risk Management Committee), dan ORMC (Operational Risk Management Committee), yang dibentuk untuk membahas permasalahan-permasalahan yang menyangkut risiko kredit, risiko pasar, risiko operasional dan risiko lainnya.

 

Penerapan MR Terintegrasi pada Konglomerasi Keuangan BRI, didukung oleh Risk Management Committee (RMC) Terintegrasi, yang melakukan pertemuan dua kali dalam satu tahun. RMC Terintegrasi adalah komite tertinggi dalam sistem Manajemen Risiko Konglomerasi Keuangan BRI yang berwenang memberikan rekomendasi perbaikan atau penyempurnaan hasil evaluasi pelaksanaan penerapan Manajemen Risiko Terintegrasi kepada Direksi BRI.

Di bawah Direksi, struktur pengelolaan risiko BRI terdiri dari Unit Kerja Operasional, Manajemen Risiko, dan Audit Intern. Bagan Struktur Organisasi Manajemen Risiko BRI adalah sebagai berikut:

  1. Kecukupan Kebijakan, Prosedur, dan Penetapan Limit

Kebijakan Umum Manajemen Risiko BRI (KUMR BRI) menjelaskan tentang dasar-dasar kebijakan manajemen risiko BRI dan merupakan ketentuan tertinggi bidang manajemen risiko di BRI. KUMR BRI menjadi acuan kebijakan, prosedur, dan pedoman di bidang manajemen risiko sesuai ketentuan yang berlaku.

KUMR diterjemahkan secara terperinci dan dituangkan dalam Pedoman Pelaksanaan Penerapan Manajemen Risiko (P3MR) yang berisi berbagai tahapan dalam proses manajemen risiko.

  1. Proses Manajemen Risiko dan Sistem Informasi Manjemen Risiko

Proses manajemen risiko terdiri dari:

  1. Identifikasi risiko
  2. Pengukuran risiko
  3. Pemantauan risiko
  4. Pengendalian risiko.

Sistem informasi manajemen risiko yang diaplikasikan antara lain,Operational Risk Assessor (OPRA), Loan Approval System (LAS), dan Treasury and Market Risk System (GUAVA).

  1. Sistem Pengendalian Intern Manajemen Risiko

Pengendalian intern secara menyeluruh telah diimplementasikan melalui:

  1. Penetapan struktur organisasi, dengan melakukan pemisahan fungsi yang jelas antara unit kerja operasional (business unit) dengan unit kerja yang melaksanakan fungsi pengendalian risiko (risk management unit).
  2. Penetapan risk management unit, yaitu unit kerja independen yang membuat kebijakan manajemen risiko, metodologi pengukuran risiko, penetapan limit risiko, dan melakukan  validasi data/model.
  3. Setiap transaksi dan aktivitas fungsional yang mempunyai eksposur risiko,akan direview dan dipantau sesuai kebutuhan, oleh masing-masing business unit.
  4. Validasi data dilakukan oleh pejabat dan unit kerja yang independen dari unit kerja operasional. Validasi data dilakukan minimal secara bulanan untuk semua risiko.
  5. Audit secara berkala dilakukan oleh unit kerja Audit Intern, untuk menilai pelaksanaan proses dan sistem manajemen risiko pada aktivitas fungsional yang memiliki eksposur risiko.

Menerapkan kegiatan pemisahan fungsi (segregation of duties) dengan menggunakan konsep Maker, Checker, Signer (MCS) pada seluruh kegiatan operasional BRI.

adalah sikap, tindakan atau perbuatan yang menyimpang dari kode etik Bank.

  1. PENGANTAR

Dalam rangka mewujudkan visi Bank menjadi Bank komersial yang terkemuka yang selalu mengutamakan kepuasan nasabah, Bank memiliki komitmen untuk menerapkan dan mencapai standar corporate governance yang tinggi. Untuk menunjukkan komitmen tersebut, telah ditandatangani surat keputusan bersama Dewan Komisaris dan Direksi Bank No. B. 06-KOM/BRI/12/2013/ S. 65-DIR/DKP/12/2013 tanggal 16 Desember 2013 mengenai kebijakan Bank tentang Kode Etik (Code of Conduct) PT. Bank Rakyat Indonesia Persero (Tbk). Di dalam Kode Etik dipaparkan prinsip dasar perilaku pribadi dan profesional yang diharapkan dilakukan oleh setiap Insan Bank dalam melaksanakan tugas-tugasnya. Ini merupakan sebuah standar perilaku yang relatif wajar, sesuai dan dapat dipercaya untuk digunakan sebagai pedoman bagi semua Insan Bank.

 

  1. TUJUAN KODE ETIK

Tujuan dari diterapkannya Kode Etik ini, dalam jangka panjang adalah untuk :

  1. Menciptakan lingkungan kerja yang baik dan kondusif sehingga dapat mendorong peningkatan kinerja Bank.
  2. Membina hubungan baik dengan komunitas setempat dimana Bank menjadi bagian di dalamnya sehingga dapat menunjang kesuksesan Bank dalam jangka panjang.
  3. Menjaga reputasi Bank.
  4. Memberikan pedoman etika bagi insan Bank dalam melaksanakan tugas, kewenangan, kewajiban dan tanggung jawabnya.
  5. Meningkatkan budaya sadar risiko dan budaya kepatuhan bagi semua insan Bank.

 

  1. KOMITMEN KODE ETIK
  1. Kode Etik Bank berlaku bagi seluruh insan Bank di seluruh jenjang organisasi Bank. Penerapan Kode Etik Bank secara terus menerus dan berkesinambungan dalam bentuk sikap, perbuatan, komitmen dan ketentuan mendukung terciptanya budaya perusahaan.
  2. Seluruh insan Bank diwajibkan secara tertulis untuk menyatakan kepatuhannya atas kode etik ini. Pernyataan Kepatuhan yang ditandatangani merupakan salah satu syarat kelanjutan hubungan kerja dengan Bank.

 

  1. LANDASAN KODE ETIK
    1.  Kode etik BRI mempertimbangkan Visi, Misi dan Core Values Bank karena Visi, Misi dan Core Values tersebut merupakan intisari kode etik ini.
    2.  Kode Etik merupakan bagian penting dari kerangka kerja corporate governance Bank dan memberikan dasar bagi Bank untuk merumuskan kebijakan, sistem dan prosedur.

 

 

  1. ELEMEN KODE ETIK

Kode Etik menjabarkan prinsip dasar perilaku pribadi dan profesional yang diharapkan dilakukan oleh setiap insan Bank dalam melaksanakan tugasnya dan praktek-praktek pengelolaan perusahaan yang baik. Ini merupakan standar perilaku yang wajar, patut dan dapat dipercaya untuk semua insan Bank dalam melaksanakan kegiatan usaha termasuk berinteraksi dengan pemangku kepentingan (stakeholders). Kode Etik Bank berlaku bagi seluruh insan Bank di seluruh jenjang organisasi Bank, Penerapan Kode Etik Bank secara terus menerus dan berkesinambungan dalam bentuk sikap, perbuatan, komitmen dan ketentuan mendukung terciptanya budaya Perusahaan.
